Terms of Service
Effective date: July 3, 2026
These Terms of Service (“Terms”) govern access to and use of the Workstone deal management platform (the “Service”), operated by Workstone Tools (“Workstone,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent. If you do not agree, do not use the Service.
1. The Service
Workstone is a business software platform for real estate developers, operators, and general contractors to manage deals, budgets, timelines, contracts, invoices, vendors, and investor relations, including an investor portal for limited partners invited by a customer organization.
2. Accounts and Eligibility
The Service is intended for professional and business use, not for personal, household, or consumer use. Accounts are provisioned by invitation — an organization administrator invites team members, and team members may invite investor contacts to a scoped investor portal. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to another organization’s data or to any part of the Service you are not authorized to access.
- Interfere with or disrupt the integrity or performance of the Service.
- Upload or transmit any material that infringes the intellectual property or other rights of any third party.
4. Subscriptions and Billing
Paid plans (currently Starter, Professional, and Enterprise) are billed on a subscription basis through our payment processor, Stripe, at the pricing and limits presented at checkout or in your plan agreement. Fees are billed in advance and are non-refundable except as required by law or as we otherwise expressly state. You may manage or cancel your subscription through the billing portal available in the Service, or by contacting support@workstone.io.
5. Your Data
As between you and Workstone, you and your organization retain all ownership rights in the data you submit to the Service (“Customer Data”), including deal, financial, and investor data. You grant Workstone a limited right to host, process, and display Customer Data solely to provide the Service to you. Our collection and use of personal information is described in our Privacy Policy.
6. Third-Party Services
The Service integrates with third-party providers, including Plaid for optional bank account connections. Use of any such integration may also be subject to that provider’s own terms and policies (for example, Plaid’s End User Privacy Policy). Workstone is not responsible for the acts or omissions of third-party providers.
7. Intellectual Property
Workstone and its licensors retain all right, title, and interest in and to the Service itself, including its software, design, and branding, excluding Customer Data. Nothing in these Terms transfers any such rights to you except the limited right to use the Service as intended.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WORKSTONE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKSTONE AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WORKSTONE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO WORKSTONE FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Termination
You may stop using the Service, or an organization administrator may close an organization’s account, at any time. We may suspend or terminate access to the Service if you materially breach these Terms and do not cure the breach within a reasonable time after notice, or immediately in cases of suspected fraud, security risk, or unlawful use. Sections of these Terms that by their nature should survive termination (including Sections 5, 7, 8, 9, and 11) will survive.
11. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, notify affected organizations. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
